This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, hereafter "User" or "Licensee") and Fetch Workpapers ("Fetch", "Company", "we", or "us") for the Fetch Workpapers software, which includes the Excel add-in installer, cloud-based platform, and any associated media, printed materials, and electronic documentation (collectively, the "Software").
By clicking "I Accept," installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.
1. Grant of License
Fetch Workpapers grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software strictly in accordance with the terms of this Agreement and your subscription tier. This license is granted solely for your internal business purposes as an accounting professional or firm.
2. Restrictions on Use
You agree that you will not, and will not permit others to:
- License, sell, rent, lease, lend, assign, distribute, transmit, host, outsource, disclose, sublicense, or otherwise commercially exploit the Software.
- Copy the Software (except to the extent reasonably necessary for installation and backup purposes) or reproduce, duplicate, or create derivative works from the Software, except as expressly permitted by this Agreement or applicable law.
- Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software, except to the extent such restriction is prohibited by applicable law.
- Use the Software for any purpose that is illegal or prohibited by this Agreement.
- Circumvent or bypass any technological protection measures in or relating to the Software.
3. Intellectual Property
The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights, is and shall remain the sole and exclusive property of Fetch Workpapers. This Agreement does not convey to you any interest in or to the Software, but only a limited right of use revocable in accordance with the terms of this Agreement.
4. Third-Party Services and Xero Integration
The Software functionality relies on integration with third-party services, specifically Xero.
- API Dependency: You acknowledge that Fetch Workpapers depends on the availability and integrity of Xero’s API. Fetch is not responsible for any service interruptions, data inaccuracies, or errors caused by Xero or other third-party providers.
- Credentials: You are responsible for maintaining the security of your Xero login credentials and any API tokens used to facilitate the sync between Xero and Excel.
5. User Responsibilities and Data Accuracy
Fetch Workpapers is an automation tool designed to assist in the preparation of working papers. It is not a substitute for professional judgment.
- Sole Responsibility for Verification: You acknowledge and agree that you are solely responsible for independently reviewing, verifying, and validating the accuracy, completeness, and appropriateness of all data and outputs that are imported, exported, synced, linked, formatted, calculated, or otherwise generated using the Software, including (without limitation) trial balances, general ledger balances, workpapers, journals, lead schedules, and any financial reports or financial statements derived from those materials.
- No Reliance: You must not rely on the Software as the sole basis for any accounting treatment, reconciliation outcome, audit/compliance conclusion, or financial statement figure. You are responsible for applying professional judgement and performing all checks and controls appropriate to your engagement and professional obligations.
- Professional Responsibility: Fetch Workpapers does not provide accounting, tax, or legal advice. The final responsibility for the accuracy of financial statements and compliance with professional standards (including APES 110) rests entirely with the User.
- Input and Post-Sync Changes: Fetch is not liable for errors resulting from incorrect manual inputs, mapping choices, configuration settings, permissions, or modifications made to the Excel workpapers after the sync process.
6. "As-Is" Provision and Disclaimers
THE SOFTWARE IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND.
To the maximum extent permitted under applicable law, Fetch Workpapers expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
- Fetch does not warrant that the Software will meet your requirements, achieve any intended results, be compatible with any other software (other than supported versions of Microsoft Excel and Xero), or operate without interruption.
- Fetch does not warrant the integrity of your hardware or local system environment. Any harm to your computer system or loss of data that results from the use of the Software is your sole responsibility.
7. Limitation of Liability
To the maximum extent permitted by law (including the Australian Consumer Law), in no event shall Fetch Workpapers or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, for loss of privacy arising out of or in any way related to the use of or inability to use the Software).
Notwithstanding any damages that you might incur, the entire liability of Fetch Workpapers and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Software during the twelve (12) months preceding the event giving rise to the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Fetch Workpapers and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your use of the Software, your violation of this Agreement, or your violation of any rights of another party.
9. Term and Termination
This Agreement shall remain in effect until terminated by you or Fetch Workpapers. Fetch Workpapers may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
Upon termination, you must cease all use of the Software and delete all copies of the Software from your computer systems.
10. Privacy
Your use of the Software is also governed by our Privacy Policy, which is incorporated herein by reference. You agree that Fetch Workpapers may collect and use technical data and related information to facilitate software updates, product support, and other services.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located within New South Wales.
12. Severability and Waiver
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
